Terms of Service

Please read these Terms of Service carefully before using Lintend. These Terms govern your access to and use of the platform and constitute a legally binding agreement between you and Lintend.

1. Acceptance of Terms

By creating an account or using the Lintend platform ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

These Terms apply to all users, including free-tier users, paying subscribers, and administrators of team accounts. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Lintend provides a SaaS platform that allows users to build, configure, and deploy AI-powered chat assistants across multiple channels including websites, WhatsApp, and Messenger. Features include:

AI assistant creation and configuration
Multi-channel publishing and integration
Conversation log management
Lead capture and CRM tools
Knowledge base and document ingestion
API access for custom integrations

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To access most features you must create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain the security of your password and notify us immediately of any unauthorised access.
Be responsible for all activities that occur under your account.
Not create accounts for the purpose of circumventing usage limits or bans.

You must be at least 16 years old to create an account. We may terminate accounts that violate these Terms without notice.

4. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation.
Transmit spam, phishing, or other unsolicited communications.
Generate or distribute content that is defamatory, obscene, threatening, or infringes intellectual property rights.
Impersonate any person or entity, or misrepresent your affiliation.
Attempt to reverse engineer, decompile, or extract the source code of the Service.
Use automated means (bots, scrapers) to access the Service outside of our published API.
Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
Use the Service to train competing AI models without our written consent.

We reserve the right to investigate suspected violations and to suspend or terminate accounts accordingly.

5. AI-Generated Content

Your assistants are powered by third-party large language models (e.g. OpenAI, Anthropic). You acknowledge that:

AI outputs may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and supervising assistant behaviour before deployment.
You must not deploy assistants in high-stakes domains (medical diagnosis, legal advice, financial advice) without appropriate disclaimers and human oversight.
You retain ownership of content you input; AI-generated output is provided "as is" without warranty.
We are not liable for decisions made based on AI-generated content.

6. Intellectual Property

Your content: You retain all ownership rights to content you upload, create, or configure within the Service (assistant prompts, knowledge documents, brand assets). You grant us a limited, non-exclusive licence to process this content solely to provide the Service.

Our IP: The Lintend platform, including its software, design, trademarks, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, or create derivative works without our written permission.

Feedback: If you provide us with suggestions or feedback about the Service, you grant us a perpetual, royalty-free licence to use that feedback for any purpose.

7. Subscriptions and Billing

Plans: We offer free and paid subscription plans. Plan features and limits are described on our pricing page and may change with 30 days' notice.

Payment: Paid plans are billed monthly or annually in advance. All fees are non-refundable except where required by law or explicitly stated in a plan description.

Upgrades / Downgrades: You may change your plan at any time. Upgrades take effect immediately; downgrades take effect at the next billing cycle.

Failed payments: If a payment fails, we will attempt to retry for 7 days. After that, your account may be downgraded to the free tier and your paid features suspended.

Taxes: Prices are exclusive of applicable taxes (VAT, GST, etc.), which will be added at checkout where required.

8. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Key points:

We process your data to provide and improve the Service.
Conversation data is retained for 90 days and may be deleted by you at any time.
We implement industry-standard security measures to protect your data.
You are responsible for ensuring your use of the Service complies with applicable data protection laws, including obtaining any necessary consents from your end users.

9. Uptime and Support

We target 99.5% monthly uptime for the core API and dashboard, excluding scheduled maintenance. We will provide at least 48 hours' notice for planned maintenance windows where possible.

Support is provided via email at support@lintend.com. Response times vary by plan tier. We do not guarantee specific resolution times.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINTEND AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD 100.

12. Indemnification

You agree to indemnify and hold harmless Lintend, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

13. Termination

By you: You may terminate your account at any time from your account settings. Termination takes effect immediately; no refunds are issued for unused subscription periods.

By us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice where possible.

Upon termination, your right to access the Service ceases. We will retain your data for 30 days after termination (for free-tier accounts) or 90 days (for paid accounts) before permanent deletion.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nepal. Any disputes shall be resolved exclusively in the courts located in Kathmandu, Nepal, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
